BAD COYOTE PRODUCTIONS LIMITED
Terms of Service
Version 2.2 | Effective 6 August 2026
These terms may be updated from time to time. The version in force is the version published on badcoyote.ie at the date of the Order.
1. Definitions
"Client" means the person, firm, agency or company to whom the purchase order or invoice is issued.
"Products or Services" means any product or service provided by Bad Coyote Productions Limited to the Client and/or their servants or agents.
"Contract" means the agreement formed between Bad Coyote Productions Limited and the Client and/or their servants or agents when an order is received. An order may be in written, verbal or electronic form.
"Order" means the instructions or request from the Client to Bad Coyote Productions Limited for Products or Services, given in writing, verbally or in electronic form.
2. Order of Precedence
Where a signed statement of work, booking confirmation, or estimate expressly varies these terms for a specific project, that document prevails for that project. Otherwise these terms apply to every Order.
3. Supply of Products or Services
Bad Coyote Productions Limited agrees to supply the Products or Services to the Client as detailed in the Order or invoice and according to these Terms of Service.
4. Rights Reserved
Should Bad Coyote Productions Limited choose not to enforce any or all of these conditions, this is not a waiver of any of Bad Coyote Productions Limited's rights. The Client accepts these terms and conditions by providing Bad Coyote Productions Limited with an Order.
5. Estimates
All estimates are exclusive of VAT.
All estimates are valid for 30 days from the date of issue.
Estimates are accurate at the date of issue. If additional editing or extra work is requested by the Client their servants or agents, Bad Coyote Productions Limited will notify the Client in writing of any additional costs before they are incurred, however, due to the time sensitive nature of certain requests from the Client it may not be possible for Bad Coyote Productions Limited to notify the Client in writing and therefore the estimated cost may be advised orally prior to incurring the additional costs.
6. Payment
Unless otherwise agreed in writing, all invoices are payable in full within 30 days of the invoice date. Payment is by bank transfer to the account stated on the invoice. Time for payment is of the essence.
Where a purchase order, supplier portal, or approval process applies on the Client's side, it is the Client's responsibility to complete it in time to meet these terms. Its absence or delay does not extend the due date.
7. Late Payment
If any invoice is not paid by its due date, Bad Coyote Productions Limited will charge statutory interest and compensation under the European Communities (Late Payment in Commercial Transactions) Regulations 2012: interest at the European Central Bank main refinancing rate plus 8 percentage points, accruing daily from the due date until payment, plus the fixed compensation sum per invoice set by the Regulations. This applies automatically and without further notice. Bad Coyote Productions Limited may also recover reasonable costs of collection beyond the fixed sum.
8. Payment Not Conditional
The Client's obligation to pay is absolute and is not conditional on the Client receiving payment, approval, or funds from any end client, agency, sponsor, or other third party. Where the Client is an agency contracting on behalf of an end client, the agency is the client of Bad Coyote Productions Limited and is liable for payment in full.
9. Suspension for Non-Payment
If any invoice is more than 14 days overdue, Bad Coyote Productions Limited may, on written notice, suspend work, withhold deliverables, and pause scheduled shoot or delivery dates on any project for that Client until the account is brought fully up to date. Bad Coyote Productions Limited is not liable for any loss caused by suspension under this clause. Any dates lost to suspension will be rescheduled subject to availability.
10. Booking Procedure
Calendar permitting, Bad Coyote Productions Limited agrees to pencil in dates at no obligation to either party. To confirm availability and secure a booking, payment is required as follows:
- For bookings of €5,000.00 ex VAT and under: 100% of the invoice amount, invoiced on delivery of the first cut.
- For bookings over €5,000.00 ex VAT: 50% of the invoice amount on booking, payable no later than 14 days before the agreed filming day, and the balance of 50% invoiced on delivery of the first cut together with any additional charges not comprised in the estimate.
For a first project with a new Client, Bad Coyote Productions Limited may require a deposit regardless of booking value, stated in the estimate.
11. Working Hours
A full filming or production day is 10 hours, including travel to the filming location. Sunday and bank holiday bookings incur a 50% surcharge of the daily rate.
12. Expenses
Bad Coyote Productions Limited retains the right to charge expenses incurred in providing the Products or Services.
13. Revisions
Each deliverable includes the number of revision rounds stated in the estimate, or two rounds if unstated. A revision round is one consolidated set of feedback. Additional rounds, or changes to elements already approved, are charged at the prevailing edit day rate and quoted before work proceeds.
14. Final Delivery Sign Off
Bad Coyote Productions Limited requires the Client's written approval of any final edits. The Client agrees to cover any additional costs incurred by changes advised after final sign off in writing.
15. Cancellations and Postponement
In the event of cancellation or delays before an agreed filming date:
- Up to 48 hours before a filming date: the Client agrees to discharge 25% of filming cost.
- Between 48 and 24 hours before a filming date: the Client agrees to discharge 50% of filming cost.
- Within 24 hours of the filming date: the Client agrees to discharge 100% of filming cost.
Cancellation charges apply to filming costs. In addition, the Client will cover pre-production work completed to date and any third-party costs already committed that cannot be recovered. A postponement requested within 48 hours of a filming date is treated as a cancellation of that date unless Bad Coyote Productions Limited can re-book the date without loss.
16. Paused and Dormant Projects
If a project is paused at the Client's request or the Client is unresponsive for 60 days, Bad Coyote Productions Limited may invoice for all work completed and third-party costs incurred to date, payable on the terms above. The project resumes when the account is current and a restart date is agreed.
17. Events Outside Our Control
Neither party is liable for delay or failure caused by events outside its reasonable control, including severe weather, airspace or regulatory restrictions on drone operations, illness of key crew, loss of location access, power or network failure, or industrial action. Where such an event prevents a filming day, the day will be rescheduled to the next date both parties can accommodate, at no additional charge except third-party costs already committed that cannot be recovered. Weather calls on drone or exterior shoots are made by Bad Coyote Productions Limited on safety grounds and are final.
18. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law. Subject to that, Bad Coyote Productions Limited's total liability arising out of or in connection with any project, whether in contract, tort, or otherwise, is limited to the total fees paid by the Client for that project. Bad Coyote Productions Limited is not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, or loss of data. Bad Coyote Productions Limited holds public liability and professional indemnity insurance, details available on request.
19. Care and Damage to Client Property
While Bad Coyote Productions Limited takes every care in the handling of the Client's property, it accepts no responsibility for any loss or damage due to unforeseen circumstances while in its custody. Liability for such loss or damage is limited to the replacement cost of the materials or media. In no circumstances will any liability attach to any claim for the value of the content.
20. Assignment and Subcontracting
Bad Coyote Productions Limited may engage freelance crew and specialist suppliers to deliver any project while remaining responsible to the Client for the delivery of the Products or Services.
Bad Coyote Productions Limited retains the right to assign the supply of the Products or Services to another suitable company should it be unable to complete the commission under these Terms of Service.
The Client may not assign, transfer, dispose of or otherwise vest in whole or part any benefit of this Agreement to any person, entity or organisation without the express written authority of Bad Coyote Productions Limited.
21. Contributors, Locations and Releases
Where Bad Coyote Productions Limited arranges talent or issues its own release forms, it will obtain and retain signed releases for those contributors. Where the Client arranges contributors, employees, patients, event attendees, or locations, the Client is responsible for ensuring valid consent and access permissions are in place, including guardian consent for anyone under 18, and will confirm this in writing on request. Each party will provide copies of releases it holds to the other on reasonable request.
The Client will ensure they have permission to include any copyrighted material they supply to Bad Coyote Productions Limited, and agrees to indemnify Bad Coyote Productions Limited against any breach of copyright claims regarding material supplied by the Client.
22. Data Protection
Each party will comply with its obligations under the General Data Protection Regulation and the Data Protection Act 2018. Where Bad Coyote Productions Limited records footage of identifiable individuals on the Client's, their servants' or agents' instruction, the Client is responsible for the lawful basis for filming arranged contributors on its premises or at its events, and Bad Coyote Productions Limited is responsible for secure handling, storage, and transfer of the recorded material. Raw footage and personal data are held securely, shared only as needed to deliver the project, and deleted or returned in line with the retention provisions of clause 24. Either party will notify the other without undue delay of any personal data breach affecting project material.
23. Health and Safety
Bad Coyote Productions Limited reserves the right not to film in dangerous or unsafe situations. Both parties will observe current health and safety regulations and have due consideration for the safety and welfare of staff and the general public.
Where Bad Coyote Productions Limited stops or declines to proceed with filming on safety grounds, the affected day will be rescheduled under clause 17, at no additional charge to the Client save for third-party costs already committed that cannot be recovered.
Where the unsafe condition arises from the Client's acts or omissions, including the condition of a location arranged by the Client, failure to secure agreed access or permits, or refusal to implement reasonable safety measures requested by Bad Coyote Productions Limited, clause 15 applies as if the Client had cancelled the day.
24. Copyright, Ownership and Licence
All footage, project files, masters, and deliverables remain the property and copyright of Bad Coyote Productions Limited.
Any licence to use, publish or broadcast deliverables takes effect only on receipt of payment in full of all sums due on the relevant project. Until then, deliverables are supplied for review and approval only, and any other use is unlicensed. On payment in full, the licence agreed in the estimate or statement of work takes effect.
Unless the estimate or statement of work states otherwise, the licence granted on payment in full covers the Client's owned digital channels, internal use, and organic social media, worldwide and without time limit. Paid broadcast, cinema, paid digital advertising, and out-of-home use require a separate licence and may carry additional talent, music, or usage fees, quoted on request.
Deliverables may incorporate music, sound effects, stock footage, fonts, or other materials licensed to Bad Coyote Productions Limited for the specific project and media agreed. These licences are project-specific and non-transferable. The Client's licence to use the deliverables is subject to those third-party terms. Re-editing, re-versioning, or extracting elements from deliverables by anyone other than Bad Coyote Productions Limited is not licensed and may breach third-party rights. New uses, media, or versions may require additional third-party licence fees, which will be quoted before any commitment.
The Client can request a copy of the raw footage at a pre-agreed rate of €500 per 100GB (minimum charge €500), delivered via online file transfer, or by hard drive and courier subject to an additional charge.
Raw footage and project files are retained for 12 months after final delivery, after which they may be deleted without further notice. Long-term archival is available as a paid service on request.
Bad Coyote Productions Limited reserves the right to display parts of the Client's video on its website and social media platforms unless otherwise agreed during the booking process.
25. Confidentiality
Unless otherwise agreed, Bad Coyote Productions Limited will treat any information gained during the supply of Products or Services as private and confidential. Likewise, the Client shall keep confidential any methods or technology used by Bad Coyote Productions Limited to supply the Products or Services.
26. General
Entire agreement. These terms, together with the relevant estimate or statement of work, are the entire agreement between the parties for the project and supersede prior discussions.
Variation. No variation of these terms is effective unless agreed in writing by Bad Coyote Productions Limited.
Severability. If any provision in the within terms of service shall be determined to be void or unenforceable in whole or in part for any reason whatsoever, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions or parts thereof. Such void or unenforceable provision shall be deemed to be severable from any other provisions or parts thereof contained and/or effect shall be given to the provision in such reduced form as may be decided by a court of competent jurisdiction.
Notices. Formal notices go by email to accounts@badcoyote.ie and to the Client contact email address or address on the estimate, and are deemed received on the next business day.
27. Governing Law
The Contract shall be governed by and construed in all respects in accordance with the laws of Ireland. The Client and Bad Coyote Productions Limited irrevocably submit to the jurisdiction of the Courts of Ireland.
